TERMS AND CONDITIONS

1. Introduction

Welcome to B2S Sdn. Bhd. (“Company”, “we”, “us”, or “our”). These Terms and Conditions govern your access to and use of our website and the professional IT consulting services provided by us.

• Cloud Implementation Services
• Software Development
• System Integration
• Technical Support and Managed Services
• Digital Transformation Consulting

2. Scope of Services

The Company provides professional services as agreed in:

• Service Agreements
• Statements of Work (SOW)
• Project Contracts
• Engagement Letters
• Purchase Orders

All services shall be delivered based on mutually agreed scope, timelines, deliverables, and commercial terms.

3. Professional Services

We perform services using commercially reasonable skill, care, and diligence in accordance with accepted industry standards.

The Client agrees to:

• Provide accurate and complete information
• Ensure timely cooperation and system access
• Assign authorized representatives
• Provide required infrastructure access

4. Fees and Payment

• Invoices payable within 14 days
• Late payments may incur interest
• Services may be suspended for overdue accounts
• Fees exclude SST and statutory taxes

5. Intellectual Property

All pre-existing intellectual property remains the sole property of the Company.

Upon full payment, the Client receives a non-exclusive license for internal business use only.

6. Confidentiality

Both parties agree to maintain strict confidentiality of proprietary information. This obligation survives termination.

7. Limitation of Liability

• No liability for indirect or consequential losses
• No liability for loss of profit, business, or data
• Total liability capped at fees paid

8. Termination

Either party may terminate according to the Agreement terms. Outstanding invoices become immediately due upon termination.

9. Governing Law

These Terms are governed by the laws of Malaysia.
